This book comprises a set of principles embodying what are perceived to be the best solutions to the needs of international commercial transactions specifically designed for use throughout the world irrespective of the legal traditions and the economic and political conditions of the countries in which they are to be applied. Each principle is followed by comment and illustration and is sufficiently flexible to take account of the constantly changing circumstances brought about by the technological and economic developments affecting cross-border trade practice. At the same time, they attempt to ensure fairness in international commercial relations by expressly stating the general duty of the parties to act in accordance with good faith and fair dealing and, in a number of specific instances, by imposing standards of reasonable behaviour. In April 2004 the Governing Council of UNIDROIT unanimously adopted the new edition of the UNIDROIT Principles of International Commercial Contracts. UNIDROIT Principles 2004 replaces the 1994 edition and contains 5 new chapters (Authority of Agents; Third Party Rights; Set-off; Assignment of Rights, Transfer of Obligations and Assignment of Contracts; Limitation Periods) as well as an expanded Preamble and new provisions on Inconsistent Behaviour and on Release by Agreement. Moreover wherever appropriate the 1994 edition of the Principles was adapted to meet the needs of electronic contracting.
