The regulation of the public limited liability company is to a very high degree similar in the five Nordic countries due to a tradition of cooperation and mutual deliberation when legislating within this area reaching back more than a century. This tradition of company law has resulted in a unique legal regime separate to the two main currents of modern Europe; that of the British common law and that of Germany. Among the interesting features are the separation of powers between a board of directors and a board of managers, both vested with executive powers and responsibilities but with the former as a controlling entity vis-à-vis the latter mandating a majority of outside directors, and the dominant role of the general meeting of shareholders; features that are now recognized as imperative to good corporate governance. For the first time ever, this unique Nordic regime is presented in a comprised manner emphasizing the identity of regulation of the Nordic countries while noting the minor differences. The book is supplemented by J. Lau Hansen, Nordic Financial Market Law, which describes the regulation of the financial markets at the EU/EEA level and in each of the five Nordic countries.Hansen, Jesper Lau is the author of 'Nordic Company Law The Regulation of Public Companies in Denmark, Finland, Iceland, Norway And Sweden', published 2003 under ISBN 9788757407945 and ISBN 8757407940.
